Leading Independent Proxy Advisory Firms ISS and Glass Lewis Recommend Toshiba Shareholders Support Full Slate of Board Nominees

TOKYO— Toshiba Corporation (TOKYO: 6502) today announced that Institutional Shareholder Services Inc. (“ISS”) and Glass Lewis, the leading independent proxy advisory firms, have recommended that shareholders vote for all 13 of Toshiba’s highly-qualified director nominees at the Company’s Ordinary General Meeting of Shareholders for the 183rd Fiscal Period, to be held on June 28, 2022.

Toshiba takes this opportunity to emphasize the full independence of the four existing independent outside directors currently nominated for reelection on the slate (Paul Brough, Ayako Weissman, Jerry Black and Raymond Zage), Toshiba wishes to highlight that each of these individuals was nominated for election by Toshiba itself. Each individual was first elected as an outside and fully independent director to the Board in June 2019 (following nomination by Toshiba) and since appointment they have at all times acted as fully independent outside directors without being influenced by any particular shareholder or group of shareholders. Toshiba is again renominating each of them as fully independent outside directors.

The recommendations of ISS and Glass Lewis reflect Toshiba’s previous statements that all 13 Directors on the slate are the best suited for considering strategic alternatives and to enhance corporate value and improving governance.
